1. Parties

This Agreement is between ImagePro Metro Vancouver Media Ltd. (“ImagePro”, “we”) and the model named above (“Model”, “you”). If the Model is under 19, the age of majority in BC, a parent or legal guardian must sign, consent on the Model’s behalf and attend the whole session. The accepted quote or invoice (“Quote”) forms part of this Agreement.

2. Booking and payment in full

The session is reserved only once this Agreement is signed and the total fee is paid in full (100%). No session takes place until payment is received. Applicable taxes are extra. Fees are non-refundable except as set out in sections 24 and 25.

3. What is included

Session length, looks, edited images and hair and makeup are as listed above and in the Quote. Extra time, looks, edited images, advanced retouching, prints, rush delivery and travel outside Metro Vancouver are charged at current rates and paid before delivery.

4. Arrival and preparation

The Model will arrive on time and camera-ready as agreed, with the outfits and items listed. Late arrival uses booked time, and the session ends at the booked time unless extra time is approved and paid. Arriving more than 30 minutes late without notice counts as a no-show.

5. Model’s confirmations

The Model confirms that they are fit to take part, are not under the influence of alcohol or drugs, and that the shoot does not breach any agency or exclusivity agreement. The Model will tell ImagePro in advance of any product sensitivities or physical limits relevant to poses or locations.

6. Conduct and safety

Both parties will keep a professional, respectful environment. ImagePro may end the session without refund if the Model or companions are abusive or intoxicated, or create unsafe conditions. Companions must not interfere with direction or the set.

7. Locations

For outdoor or public locations, ImagePro chooses safe, accessible spots and obtains permits where required. Weather or site conditions may require a change of spot or time; see section 25.

8. Creative direction

ImagePro directs posing, lighting, composition, selection and editing in its portfolio style, while taking the Model’s goals into account. ImagePro does not guarantee particular results, agency representation or bookings.

9. Copyright

ImagePro owns all copyright in the photographs, video, RAW files and edits it creates. Payment does not transfer ownership; only a separate written assignment signed by ImagePro does.

10. Model’s licence

Once paid, the Model may use the delivered images for a personal portfolio, comp cards, agency and casting submissions, a personal website and social media, crediting “Photo: ImagePro Metro Vancouver Media” where practical. Without ImagePro’s written permission the Model may not sell or license the images, use them for a brand or paid advertising, enter them in contests, materially alter them beyond cropping or social-media filters, or remove watermarks or credits.

11. Model release to ImagePro

Unless the Model opts out in step 4, the Model allows ImagePro to use the images and the Model’s name and likeness in ImagePro’s portfolio, website, social media, advertising and award entries, without further payment. ImagePro will not license the Model’s images to any third party for commercial advertising without the Model’s separate written consent and an agreed fee.

12. Selection and retouching

ImagePro provides an online proof gallery. The Model chooses the included number of images within 14 days of receiving proofs, after which ImagePro may choose. Standard retouching covers skin cleanup, colour, stray hairs and minor distractions; advanced retouching is extra. RAW and unselected files are not supplied.

13. Revisions and delivery

One round of minor adjustments per image is included if requested in writing within 14 days of delivery; after that the images are deemed accepted. The Model must download and back up files promptly; ImagePro may delete them 90 days after delivery.

14. Proofs and watermarks

Proofs and watermarked or low-resolution previews are for selection only and may not be posted or shared. Only final delivered files carry the licence in section 10.

15. Your safety and comfort

The Model may bring one adult chaperone to any session, and a parent or guardian must attend if the Model is under 19. A private changing area is provided where the location allows, and ImagePro will never photograph the Model while changing.

16. Your right to say no

The Model may decline any pose, outfit, location or concept, and may pause or stop the session at any time. Swimwear, lingerie or implied-nude looks are photographed only if agreed in writing before the session, and never if the Model is under 19. Nude photography is not offered.

17. Respectful contact

ImagePro will ask before any physical adjustment of hair, clothing or posture, and will offer to explain the adjustment or let the chaperone or Model make it instead.

18. Honest retouching

ImagePro will not reshape the Model’s body or face, or change skin tone, beyond the standard retouching described in section 12, without the Model’s consent.

19. Care of files and personal information

ImagePro stores the Model’s files securely and keeps a backup for at least 90 days after delivery. ImagePro will not sell the Model’s images or personal information, including date of birth and contact details, or share them with third parties other than service providers needed to complete the work, and handles personal information under BC privacy law.

20. Privacy requests and takedowns

Even where the release in section 11 is given, the Model may ask ImagePro not to publish particular images. The Model may later withdraw consent for future use and ask ImagePro to remove published images from ImagePro’s website and social media, and ImagePro will do so within 14 days. Material already printed or shared by others cannot be recalled.

21. On-time delivery and corrections

If final edits are more than 30 days later than the delivery date confirmed by ImagePro for reasons within ImagePro’s control, the Model receives a 10% refund of the session fee. Concerns should be sent in writing within 14 days of delivery; ImagePro will reply within 7 days and make a free correction where the edits do not match the agreed standard.

22. Resolving disputes

Before starting legal action, both parties will try to settle any disagreement through direct discussion and, if that fails, mediation. Either party may still use the BC Civil Resolution Tribunal or Small Claims Court where they apply. The Model receives a complete copy of this signed Agreement.

23. Cancellation by the Model

Cancellation or rescheduling must be in writing. Because the full fee holds the date and ImagePro turns away other work, the fee is not refunded; instead the outcome below applies. A rescheduled session not used within 90 days is forfeited.

24. Weather and unsafe conditions

If severe weather or unsafe conditions prevent an outdoor session, ImagePro will move it to the next mutually available date at no charge, or to an indoor location if the Model agrees.

25. Cancellation by ImagePro

If illness, accident, emergency or another event beyond ImagePro’s control prevents the session, the Model may choose a new date or a full refund of all amounts paid within 14 days.

26. Equipment failure and data loss

ImagePro uses professional equipment, backup media and industry-standard file handling. If files are lost or corrupted despite this, ImagePro will offer a free reshoot or refund the fees paid for the affected images.

27. Limitation of liability

ImagePro’s total liability for any claim is limited to the amount the Model paid. ImagePro is not liable for indirect or consequential losses, lost bookings or modelling opportunities, or the Model’s personal belongings brought to the session.

28. Indemnity

The Model (and guardian, where applicable) indemnifies ImagePro against claims and costs arising from use of the images outside the licence, untrue statements about age or agency commitments, and outfits, props or products supplied by the Model.

29. Crew

ImagePro may use assistants, makeup artists and stylists, who follow the same conduct and safety terms in sections 15 to 18.

30. General

This Agreement is governed by the laws of British Columbia and Canada, and BC courts have jurisdiction. It and the Quote are the entire agreement; changes must be in writing, and email counts. An unenforceable term is enforced to the fullest extent allowed and the rest remains in effect. Nothing here removes statutory rights that cannot legally be waived. Electronic signatures and scanned copies are binding.
